Every Form D since 2008

When a US company or a fund raises money privately under Regulation D, it files a Form D with the Securities and Exchange Commission within fifteen days of the first sale. The search covers every one filed since 2008: the issuer with its state and jurisdiction of incorporation, the executives, directors and promoters it names, the industry group, the exemption claimed, the securities offered, the total offering amount, the amount sold so far, the number of investors, the minimum investment, any sales compensation, and the date of the first sale. A startup's priced round and a venture fund's close both show up here, signed by the company. Filter funds out to see operating companies only, or funds only by type to follow venture and private equity closes. Brought up to date every day from EDGAR.

Where does this information come from?
From EDGAR, the SEC's filing system, where every Form D is public the day it is filed. Croma keeps an organized copy of every one since 2008, adds each day's filings the next morning, and returns them structured, free and with no account. There is only a cap on searches per hour from the same connection.
What is a Form D?
The notice a company or a fund must file with the SEC within fifteen days of the first sale when it raises money privately under Regulation D, the exemption most startup rounds and venture funds use. It names the issuer and its officers, the exemption, the amount offered and sold and the number of investors. It is not the term sheet: valuations and investor names are not on it.
How do I see startup rounds without the funds?
Set the funds filter to companies only. Roughly two of every three Form D filings are pooled investment funds raising from their own investors; leaving them out shows operating companies. The reverse, funds only with a fund type, follows venture capital and private equity closes.
Why does a company appear several times?
Each Form D is one notice, and an amendment (form type D/A) is a notice of its own, filed to update the amount sold or the people named. The newest one for an offering carries the running total; the earlier ones are the history.
