The lookup returns the whole Form D behind one accession number, the identifier EDGAR assigns to each filing: the issuer with its address, phone, entity type, jurisdiction and year of formation, any co-issuers, the executives, directors and promoters with their addresses and roles, the industry group and revenue range, the exemptions claimed, whether it amends an earlier notice, the date of the first sale, the kinds of securities offered, the minimum investment, the total offering amount, the amount sold and the amount remaining, the number of investors, sales commissions and finder's fees, proceeds paid to the people named, who was paid to sell, and the signature. Common questions
- Where does this information come from?
- From EDGAR, the SEC's filing system, where every Form D is public the day it is filed. Croma keeps an organized copy of every one since 2008, adds each day's filings the next morning, and returns them structured, free and with no account. There is only a cap on searches per hour from the same connection.
- What is an accession number?
- The number EDGAR assigns to every filing: ten digits for the filer, two for the year and six for the sequence, as in 0001587468-26-000001. It is unique to the filing and never reused, which is why it is the key here.
- The number shows no result. Why?
- Because EDGAR holds no Form D under it. Accession numbers exist for every kind of filing, so a number from a 10-K or an S-1 is real but not a Form D. A notice filed in the last day arrives with the next morning's update.
- Are valuations and investor names in a Form D?
- No. The form asks for the amount offered and sold and the number of investors, not who they are or at what valuation. The people named are the issuer's own executives, directors and promoters.
